These Terms of Use describe the legally binding terms and conditions that oversee your use of the Site. BY ACCESSING OR USING THE SITE, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS. You represent that you have the authority and capacity to enter into these Terms. These terms require the use of arbitration (Section 10.2) on an individual basis to resolve disputes and also limit the remedies available to you in the event of a dispute.
Subject to these Terms, V-MI Travel grants you a non-transferable, non-exclusive, revocable, limited license to access the Site solely for your own personal, non-commercial use to explore travel services and make inquiries.
The rights granted to you in these Terms are subject to the following restrictions:
(a) You shall not sell, rent, lease, transfer, assign, distribute, host, or otherwise commercially exploit the Site or any content thereon;
(b) You shall not change, make derivative works of, disassemble, reverse compile, or reverse engineer any part of the Site;
(c) You shall not access the Site in order to build a similar or competitive website, product, or service; and
(d) Except as expressly stated herein, no part of the Site may be copied, reproduced, distributed, republished, downloaded, displayed, posted, or transmitted in any form or by any means.
All content on this Site, including but not limited to text, graphics, logos, images, audio clips, video clips, data compilations, and software, is the property of V-MI Travel or its content suppliers and is protected by international copyright laws. The compilation of all content on this Site is the exclusive property of V-MI Travel.
All trademarks, service marks, and trade names displayed on the Site are the property of V-MI Travel and/or third-party licensors. You are not permitted to use these marks without our prior written consent or the consent of such third party.
By using the Site, you represent and warrant that:
(a) All registration information you submit is truthful and accurate;
(b) You will maintain the accuracy of such information;
(c) You are at least 18 years of age;
(d) Your use of the Site does not violate any applicable law or regulation.
(a) All travel itineraries, prices, and service descriptions on the Site are for informational purposes and are subject to change without prior notice.
(b) A booking is not confirmed until V-MI Travel sends a written confirmation via email. Verbal or informal communications do not constitute a confirmed booking.
(c) V-MI Travel acts as a travel service provider/agent. We are not responsible for any third-party services (e.g., airlines, hotels, transportation providers) included in your itinerary. Any claims regarding such services should be directed to the respective provider.
(d) Cancellation and refund policies vary by package. Please refer to the specific terms provided at the time of booking or contact us directly at mailto:[email protected].
(e) Travelers are responsible for ensuring they have valid travel documents, visas, and insurance. V-MI Travel shall not be liable for any denial of entry, delays, or losses resulting from insufficient documentation.
You agree not to use the Site to:
(a) Harass, abuse, or harm another person;
(b) Transmit any spam, unsolicited advertising, or promotional material;
(c) Impersonate any person or entity or falsely state your affiliation;
(d) Upload or transmit viruses, malware, or any other harmful code;
(e) Collect or harvest any personal data from other users of the Site.
The Site may contain links to third-party websites or services that are not owned or controlled by V-MI Travel. V-MI Travel has no control over, and assumes no responsibility for, the content, privacy policies, or practices of any third-party websites or services.
THE SITE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. V-MI TRAVEL MAKES NO WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE. V-MI TRAVEL DOES NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, V-MI TRAVEL SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (a) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SITE; (b) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SITE; OR (c) ANY CONTENT OBTAINED FROM THE SITE.
IN NO EVENT SHALL V-MI TRAVEL’S TOTAL LIABILITY EXCEED THE AMOUNT YOU PAID TO V-MI TRAVEL IN THE TWELVE (12) MONTHS PRIOR TO THE CLAIM, OR USD $500, WHICHEVER IS GREATER.
You agree to indemnify and hold harmless V-MI Travel, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including attorney’s fees) arising out of or related to your use of the Site or your violation of these Terms.
(a) These Terms shall be governed by and construed in accordance with the laws of the People’s Republic of China, without regard to conflict of law principles.
(b) Arbitration. Any dispute arising out of or relating to these Terms shall be resolved through binding arbitration on an individual basis. You waive any right to participate in a class action lawsuit or class-wide arbitration.
(c) The arbitration shall be conducted in Baoji, Shaanxi Province, China, in the English language.
The communications between you and V-MI Travel use electronic means, whether you use the Site, send us emails, or whether V-MI Travel posts notices on the Site or communicates with you via email. For contractual purposes, you (a) consent to receive communications from V-MI Travel in an electronic form; and (b) agree that all terms and conditions, agreements, notices, disclosures, and other communications that V-MI Travel provides to you electronically satisfy any legal obligation that such communications would satisfy if it were in a hard copy writing.
These Terms constitute the entire agreement between you and V-MI Travel regarding the use of the Site. Our failure to exercise or enforce any right or provision of these Terms shall not operate as a waiver of such right or provision. The section titles in these Terms are for convenience only and have no legal or contractual effect. The word “including” means “including without limitation.” If any provision of these Terms is held to be invalid or unenforceable, the other provisions of these Terms will remain in full force and effect, and the invalid or unenforceable provision will be deemed modified so that it is valid and enforceable to the maximum extent permitted by law.
Your relationship to V-MI Travel is that of an independent contractor, and neither party is an agent or partner of the other. These Terms, and your rights and obligations herein, may not be assigned, subcontracted, delegated, or otherwise transferred by you without V-MI Travel’s prior written consent, and any attempted assignment, subcontract, delegation, or transfer in violation of the foregoing will be null and void. V-MI Travel may freely assign these Terms. The terms and conditions set forth in these Terms shall be binding upon assignees.

V-MI Travel reserves the right to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days’ notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.
